1. Acceptance of Terms

By engaging the services of NPS Elite, provided by NPS Nutrition AB (Org.nr: 559520-3620), you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you (the “Client”) and NPS Nutrition AB.

2. Service Definition: Leadership Development & Executive Performance Audit

The Service is qualitatively defined as “Leadership Development & Executive Performance Audit.” It is a professional consulting and management training service designed to optimize decision-making sustainability and cognitive performance for C-level executives and founders.

The service includes:

• Continuous AI-driven cognitive auditing.
• Executive Performance Audit Reports.
• Strategic performance consulting.

Note: This service is categorized as professional management training and is not a medical diagnosis or healthcare treatment. It does not fall under the Swedish Patient Data Act (Patientdatalagen).

3. Tax Compliance & Deduction (Skatteverket)

In compliance with Swedish tax law, invoices for NPS Elite services are issued with the description “Leadership Development & Executive Performance Audit.” This classification allows the service to be treated as a tax-deductible management training expense for corporations, rather than a taxable employee benefit (Friskvårdsbidrag).

4. Pricing & Payment

Current service tiers are as follows:

• Executive Shield: 19,999 SEK / Year (excl. VAT)
• Squad Defense: 89,999 SEK / Year (excl. VAT) – for teams up to 5 members.

Payments are processed via secure encrypted gateways. All fees are non-refundable unless otherwise specified in writing.

5. Confidentiality & Data Security

We implement Zero-Knowledge Architecture and Swiss-grade vaulting to ensure the absolute confidentiality of executive data. No raw data is ever shared with third parties, including the Client’s employer or board, without explicit written consent.

6. Human-in-the-Loop AI Policy

In compliance with the EU AI Act, we disclose that our performance reports are generated via AI automation and audited by human performance architects. This ensures high precision and ethical oversight.

7. Governing Law & Jurisdiction

These terms shall be governed by and construed in accordance with the laws of Sweden. Any disputes arising out of or in connection with these terms shall be settled exclusively by the Stockholm District Court (Stockholms tingsrätt).

8. Limitation of Liability

NPS Nutrition AB provides performance consulting. We are not liable for business decisions made by the Client. The service is provided “as is” without warranties of any kind regarding specific financial or business outcomes.
